Introduction

Welcome to ChatRook. These Terms of Service ("Terms") govern your access to and use of the ChatRook platform, services, and website ("Services") provided by ChatRook, Inc. ("ChatRook," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you are using our Services on behalf of an organization, you are agreeing to these Terms for that organization and confirming that you have the authority to bind that organization to these Terms. In that case, "you" and "your" will refer to that organization.

Our Services are designed for secure video communications with integrated financial analytics capabilities. These Terms outline your rights and responsibilities when using our platform, as well as important information about data security, privacy, and financial information handling.

PLEASE READ THESE TERMS CAREFULLY. If you do not agree with these Terms, you may not access or use our Services.

Definitions

Throughout these Terms, we use certain defined terms. To help you understand these Terms, we've defined these terms below:

1.1. Key Terms

  • "Account": Your registered account with ChatRook, which allows you to access and use the Services.
  • "Content": All text, information, data, audio, video, images, and other materials that are uploaded, transmitted, or stored in connection with your use of the Services.
  • "End-to-End Encryption" / "E2EE": A system of communication where only the communicating users can read the messages. In principle, it prevents potential eavesdroppers from accessing the cryptographic keys needed to decrypt the conversation.
  • "Financial Analytics": The cryptocurrency and financial market analytics, reports, and insights generated within the ChatRook platform.
  • "Personal Data": Any information relating to an identified or identifiable natural person as defined under applicable privacy laws.
  • "Platform": The ChatRook video meeting software, applications, and services, including all features, functionality, and user interfaces.
  • "Subscription": A paid plan that provides access to premium features of the Services.
  • "User": Any individual who accesses or uses the Services, whether as a free or paid subscriber.

1.2. Interpretation

The headings used in these Terms are for convenience only and will not affect their interpretation. Words importing the singular will include the plural and vice versa. A reference to a person includes a reference to a company or other legal entity.

Account Terms

2.1. Account Creation and Eligibility

To use our Services, you must create an account. You must be at least 18 years old to create an account. By creating an account, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You will use the Services in accordance with these Terms
  • The information you provide is accurate, current, and complete
  • You will maintain the accuracy, currency, and completeness of your account information

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

2.2. User Identity Verification

For certain features or Subscription plans, we may require additional identity verification. This may include verification of your email address, phone number, or other identifying information. You agree to provide accurate verification information when requested.

2.3. Organizational Accounts

If you create an account for an organization, you represent and warrant that you have the authority to bind that organization to these Terms. The organization is responsible for:

  • Controlling access to and use of the Services by its authorized users
  • Ensuring that all users comply with these Terms
  • Managing administrative privileges and security controls
  • Notifying us promptly if access credentials are compromised

2.4. Account Suspension and Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, provide false information, or for any other reason we determine appropriate. Upon termination, you will lose access to the Services and any Content stored within them.

Services Description

3.1. Video Meeting Platform

ChatRook provides a secure video meeting platform with end-to-end encryption, designed for professional and personal communications. The Services include:

  • Secure video and audio conferencing
  • End-to-end encrypted communications
  • Screen sharing capabilities
  • Meeting recording (where available by plan)
  • Chat and file sharing during meetings
  • Administrative controls for meeting hosts

3.2. Financial Analytics

ChatRook integrates AI-powered cryptocurrency market analytics within our secure meeting platform. These features may include:

  • Real-time cryptocurrency market data
  • AI-generated financial insights
  • Market trend analysis and visualization
  • Financial report generation
  • Portfolio tracking tools
  • Multi-exchange price comparison

Financial Analytics features are subject to the limitations and disclaimers outlined in Section 11 (Financial Analytics) of these Terms.

3.3. Service Levels and Availability

We strive to maintain 99.9% uptime for our Services, but we do not guarantee uninterrupted access. Services may be occasionally unavailable due to maintenance, upgrades, or factors beyond our control. Enterprise and Government customers with specific Service Level Agreements (SLAs) should refer to their separate agreements for applicable terms.

3.4. Modifications to Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will make reasonable efforts to notify you of significant changes to the Services that may affect your use of them. For paid Subscriptions, we will provide advance notice of material changes that substantially reduce functionality.

Data Privacy

4.1. Privacy Policy

Our Privacy Policy, available at https://ChatRook.com/privacy, describes how we collect, use, process, and disclose your information, including Personal Data, in connection with your use of the Services. By using our Services, you consent to such collection, use, processing, and disclosure as described in the Privacy Policy.

4.2. End-to-End Encryption

ChatRook implements end-to-end encryption for video meetings and communications. This means:

  • Video and audio content is encrypted on the sender's device and decrypted only on recipients' devices
  • ChatRook cannot access the content of your encrypted communications
  • Meeting participants can verify encryption status during meetings

While we employ strong encryption technology, no system is 100% secure. You acknowledge that you use the Services at your own risk and that you are responsible for implementing appropriate security measures for your data.

4.3. Data Handling and Storage

Different types of data are handled according to the following principles:

  • Meeting Content: End-to-end encrypted and not accessible to ChatRook
  • Meeting Metadata: Limited information such as meeting duration, participant count, and service quality metrics may be collected
  • Account Information: Stored securely in accordance with our Privacy Policy
  • Financial Analytics Data: Processed according to user permission settings and plan limitations

Free accounts may have different data retention periods than paid Subscriptions. You are responsible for backing up any important Content shared or created during meetings.

4.4. Compliance with Privacy Laws

ChatRook is designed to support customers obligations under applicable privacy and data protection laws. We implement appropriate technical and organizational measures to protect data and document specific commitments in applicable agreements.

If you are using our Services to process Personal Data on behalf of others, you are responsible for ensuring that you have the legal right to do so and that your use complies with applicable privacy laws.

Security Practices

5.1. Security Measures

ChatRook implements comprehensive security measures, including:

  • 256-bit AES encryption for data in transit and at rest
  • Post-quantum cryptographic protocols where applicable
  • Multi-factor authentication options
  • Regular security audits and vulnerability assessments
  • Compliance with industry security standards

Business and Enterprise plans include additional security features such as single sign-on (SSO) integration, role-based access controls, and advanced security configurations.

5.2. User Security Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Implementing appropriate security measures on your devices
  • Ensuring that meeting links are shared only with intended participants
  • Configuring meeting security settings appropriately
  • Promptly reporting any suspected security incidents

ChatRook is not responsible for security incidents resulting from user negligence, unauthorized account access due to compromised credentials, or security vulnerabilities in your systems or networks.

5.3. Security Documentation and Contractual Support

Depending on your Subscription plan and signed agreements, ChatRook may offer additional security controls, documentation, and contractual support, including:

  • Security governance aligned with recognized industry frameworks
  • Independent security review support where applicable
  • Business Associate Agreement support for eligible healthcare customers when required
  • Government procurement security documentation where applicable
  • Encryption and key-management documentation for eligible plans

Specific security documentation and contractual commitments depend on your Subscription plan and signed agreement. Please contact our sales team for details applicable to your plan.

5.4. Security Incident Reporting

In the event of a security incident affecting your data, we will:

  • Investigate the incident promptly
  • Take appropriate measures to mitigate harm
  • Notify affected users as required by applicable law
  • Provide reasonable assistance with your incident response

You must promptly notify us of any unauthorized use of your account or any other security breach related to the Services by contacting us.

Payment Terms

6.1. Subscription Plans and Pricing

ChatRook offers various Subscription plans with different features and pricing. Current pricing information is available on our Pricing page. You agree to pay all fees applicable to your selected Subscription plan.

We may change our prices at any time, but we will provide reasonable advance notice before any price changes affect your Subscription. If you do not agree to the price change, you may cancel your Subscription before the change takes effect.

6.2. Payment Processing

Payments are processed through secure third-party payment processors. By providing payment information, you represent that you are authorized to use the payment method and agree to the terms of the payment processor.

For recurring Subscriptions, you authorize us to charge your payment method on a recurring basis until your Subscription is terminated. If your payment cannot be processed, we may suspend or terminate your access to paid features.

6.3. Taxes

All fees are exclusive of taxes unless stated otherwise. You are responsible for paying all applicable taxes, including sales tax, value-added tax (VAT), goods and services tax (GST), and other similar taxes imposed by relevant taxing authorities.

If we are required to collect or pay taxes on your behalf, the taxes will be charged to you. You agree to provide accurate billing information, including your tax identification number or exemption certificate where applicable.

6.4. Refund Policy

Our refund policy varies by Subscription plan:

  • Professional Plan: 30-day money-back guarantee for new subscribers
  • Business and Enterprise Plans: Subject to the terms of your service agreement
  • Government Plans: Subject to applicable procurement regulations and contract terms

To request a refund, contact our support team. Refund requests are evaluated on a case-by-case basis and subject to our discretion.

6.5. Subscription Management

You can manage your Subscription, including upgrades, downgrades, and cancellations, through your account settings or by contacting our support team. For monthly Subscriptions, changes will take effect on your next billing cycle. For annual Subscriptions, downgrades will take effect at the end of your current billing period.

After cancellation, you will continue to have access to paid features until the end of your current billing period. We do not provide partial refunds for unused periods unless required by law.

Proprietary Rights

7.1. ChatRook Intellectual Property

All rights, title, and interest in and to the Services, including all intellectual property rights, are owned by or licensed to ChatRook. These Terms do not grant you any rights to use our trademarks, logos, domain names, or other brand features.

The Services contain proprietary and confidential information protected by intellectual property laws. You agree not to modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from the Services.

7.2. Your Content

You retain all rights to Content you create, upload, or share when using the Services. By using our Services, you grant ChatRook a limited license to host, store, and process your Content solely as necessary to provide the Services to you.

Due to our end-to-end encryption, we generally cannot access the content of your communications. However, for features that require processing (such as cloud recording or AI-powered analytics), you grant us permission to process your Content as needed to provide those features.

7.3. Feedback

If you provide feedback, ideas, or suggestions regarding our Services ("Feedback"), you grant ChatRook a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and incorporate the Feedback into our Services or other products without restriction or compensation to you.

7.4. Third-Party Services and Content

The Services may contain links to or integrate with third-party services, applications, or content. These third-party services are subject to their own terms and privacy policies. We are not responsible for any third-party services or content and your use of them is at your own risk.

Our financial analytics features may incorporate market data and information from third-party sources. These data sources are subject to separate terms and conditions, and we make no representations regarding their accuracy or completeness.

Prohibited Uses

You agree not to use the Services for any unlawful purpose or in any way that violates these Terms. Prohibited uses include, but are not limited to:

8.1. Illegal Activities

  • Using the Services for any illegal purpose or in violation of any applicable laws or regulations
  • Transmitting any material that violates any applicable local, state, national, or international law
  • Engaging in fraud, money laundering, terrorist financing, or other financial crimes
  • Violating sanctions, export controls, or trade restrictions
  • Infringing on the intellectual property rights of others

8.2. Platform Abuse

  • Attempting to gain unauthorized access to the Services or related systems
  • Interfering with or disrupting the integrity or performance of the Services
  • Attempting to bypass or circumvent our security measures
  • Using vulnerability scanning tools on our Services without explicit permission
  • Creating multiple accounts to circumvent usage limitations
  • Reverse engineering or decompiling any part of our software

8.3. Content Restrictions

  • Distributing malware, viruses, or other harmful code
  • Sharing content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Transmitting unsolicited commercial communications ("spam")
  • Impersonating any person or entity or falsely stating your affiliation with a person or entity
  • Using the Services to host, distribute, or transmit pornography or sexually explicit material

8.4. Violations and Enforcement

We reserve the right to investigate and take appropriate action against violations of these Terms, including but not limited to:

  • Removing prohibited Content from the Services
  • Suspending or terminating violators' accounts
  • Reporting violations to law enforcement authorities
  • Taking legal action to recover damages incurred due to violations

We may report illegal activities to relevant law enforcement authorities without prior notice to you.

Financial Analytics

9.1. Financial Information Disclaimer

The financial analytics features of our Services are provided for informational purposes only. ChatRook does not provide financial, investment, legal, or tax advice. The information provided through our platform:

  • Is not intended as investment, financial, legal, or tax advice
  • Does not constitute an offer to buy or sell any securities or financial instruments
  • Is not guaranteed to be accurate, complete, or timely
  • Should not be the sole basis for any investment decisions

You should consult with qualified professional advisors before making any financial or investment decisions based on information obtained through our Services.

9.2. Market Data and AI Analytics

Our cryptocurrency market data and AI-powered financial analytics:

  • Are sourced from various third-party providers and public exchanges
  • May not reflect real-time pricing due to data delays or processing time
  • Are subject to inherent limitations of AI predictive models
  • May contain errors, inaccuracies, or omissions
  • Are not personalized financial advice

Past performance information presented in our financial analytics tools is not indicative of future results. Cryptocurrency markets are highly volatile, and trading or investing in cryptocurrencies involves significant risk of loss.

9.3. Limitations of AI Financial Analysis

You acknowledge that our AI-powered financial analytics:

  • Rely on historical data and mathematical models with inherent limitations
  • Cannot predict market movements with certainty
  • Do not account for all market factors or risks
  • Should be considered one of many tools for financial analysis
  • Require human interpretation and judgment

ChatRook is not responsible for any financial losses resulting from reliance on our financial analytics features. You assume full responsibility for your investment decisions and the consequences thereof.

9.4. Regulatory Compliance

Our financial analytics features are not designed for regulated financial activities that require specific licenses or authorizations. You are responsible for complying with all applicable financial regulations, including but not limited to securities laws, commodities regulations, and anti-money laundering requirements.

If you are a financial institution or regulated entity, you are responsible for determining whether your use of our Services complies with applicable regulatory requirements.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

ChatRook SPECIFICALLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
  • ANY WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF THE SERVICES
  • ANY WARRANTIES REGARDING THE AVAILABILITY OR TIMELINESS OF THE SERVICES
  • ANY WARRANTIES REGARDING THE SECURITY, RELIABILITY, OR PERFORMANCE OF HARDWARE OR SOFTWARE

ChatRook DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS IN THE SERVICES WILL BE CORRECTED.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ChatRook, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RELATED TO USE, INABILITY TO USE, OR THE RESULTS OF USE OF THE SERVICES
  • DAMAGES RELATED TO ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
  • DAMAGES RELATED TO ANY FINANCIAL DECISIONS MADE BASED ON INFORMATION PROVIDED THROUGH THE SERVICES
  • DAMAGES RELATED TO INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICES

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING NEGLIGENCE) AND EVEN IF ChatRook HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, ChatRook'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN NO EVENT SHALL ChatRook'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO BRINGING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Termination

12.1. Termination by You

You may terminate your account at any time by following the instructions in your account settings or by contacting our support team. Upon termination:

  • You will lose access to all paid features immediately unless otherwise specified
  • Any Content you've shared may remain accessible to those with whom you've shared it
  • We will handle your data in accordance with our Privacy Policy

For paid Subscriptions, cancellation will take effect at the end of your current billing period, unless otherwise stated in your service agreement.

12.2. Termination by ChatRook

We may terminate or suspend your account and access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees or charges
  • Extended periods of inactivity
  • Upon request by law enforcement or government agencies

If your account is terminated for cause, you may not create a new account without our express permission.

12.3. Effect of Termination

Upon termination:

  • Your right to access and use the Services will cease immediately
  • Outstanding payment obligations will remain in effect
  • Provisions of these Terms that by their nature should survive termination will survive

We may, but are not obligated to, delete your Content from our systems after termination. We recommend backing up any important information before terminating your account.

Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Services, by email, or by other means before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Services. Changes will not apply retroactively and will become effective immediately after they are posted, except as otherwise stated.

For paid Subscriptions, significant changes to these Terms that materially reduce your rights will only apply to your Subscription upon renewal. If we make significant changes to these Terms during your Subscription period, we will provide at least 30 days' notice before the changes take effect.

Governing Law

14.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. If you are a consumer, this choice of law does not deprive you of any mandatory consumer protections afforded by the law of your place of residence.

14.2. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively through confidential, binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties.

You and ChatRook agree to waive any right to a jury trial and to participate in arbitration on an individual basis only, not as a class or collective action. To the extent permitted by law, the arbitrator's decision will be final and binding.

This arbitration provision does not prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the infringement or misappropriation of intellectual property rights.

14.3. Small Claims Court

Notwithstanding the foregoing, you may bring individual claims in small claims court in your jurisdiction, if permitted by that small claims court's rules.

14.4. Class Action Waiver

ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If a court or arbitrator determines that this class action waiver is unenforceable, then the entirety of this dispute resolution section shall be null and void.
